Welcome to Nsonia Gateway, a product of Nsonia LLC ("we," "our," or "us"). By accessing or using Nsonia Gateway (the "Service"), you agree to these Terms of Service ("Terms"). Please read them carefully.

1. Subscription & Usage

1.1 Subscription Model

Nsonia Gateway operates on an auto-renewing subscription basis. Organizations subscribe to a monthly plan (seat-based, API access, or widget-based), which grants access to pooled usage credits. These credits allow access to large language model (LLM) interactions via the web interface, embeddable widgets, or the API.

1.2 Credit Allocation & Renewals

  • Monthly Subscription: Your organization's credits reset to the subscribed amount at the start of each billing cycle.
  • Seat Changes: Adding seats takes effect immediately with prorated billing. Removing seats takes effect at the next renewal date.
  • Subscription Cancellations: You retain access to your remaining credits until the end of your current billing cycle.

1.3 Rollover Credits

  • Available for purchase by organizations needing additional capacity.
  • Remain in your organization's account as long as your subscription is active.

2. Credit Usage & Conversion

Different AI models consume credits at varying rates:

  • Advanced AI models (high reasoning capability) require more credits per request.
  • Web searches use credits.

We dynamically adjust credit consumption based on model costs through a real-time conversion system.

3. User Responsibilities

3.1 Acceptable Use

You agree to use Nsonia Gateway responsibly and in accordance with all applicable laws. You must NOT:

  • Use the service for illegal, harmful, or abusive purposes.
  • Generate or distribute offensive or defamatory content.
  • Attempt to manipulate or disrupt the service's functionality.
  • Share account credentials or allow unauthorized access.

3.2 Content Ownership

You are solely responsible for the content you generate using Nsonia Gateway. We do not claim ownership over user-generated content.

3.3 Compliance with Local Laws

Users must ensure their use complies with local AI content regulations.

3.4 API & Widget Data Responsibility

If you access Nsonia Gateway via our API or embeddable widgets, you are solely responsible for the data you transmit through the Service, including ensuring you have obtained all necessary consents, authorizations, or legal bases to submit such data to a third-party AI processing service. Nsonia Gateway acts as a data processor on your behalf; you remain the data controller for any personal or sensitive data included in your API requests. You must not submit data to the Service in violation of any applicable privacy, data protection, or industry-specific regulations.

4. Privacy & Data Handling

We prioritize user privacy. Key points:

  • Conversations are stored in your browser's local storage, not on our servers.
  • We store only the minimum data required for subscription and usage tracking.
  • AI interactions are processed through our secure gateway but not logged or stored.
  • API and widget requests are processed transiently — prompt and response content passes through our servers to the AI model provider and is not persisted. Only aggregate usage metadata (token counts, model used, credits consumed) is retained for billing.

4.1 AI Model Training Disclaimer

While Nsonia Gateway does not train on user data, we cannot guarantee that our model providers do not. Most major AI services, including OpenAI, Anthropic, and Google, do not train on API-based customer inputs. Users concerned about this should review the Terms of Service of these providers.

5. Payments & Billing

5.1 Payment Processing

  • Payments are securely processed via Creem, our Merchant of Record. Creem handles payment processing, sales tax, and compliance on our behalf.
  • We do not store or process credit card information directly.
  • Subscriptions can be managed through your account settings.

5.2 Refund Policy

Refunds may be issued at our discretion for billing errors or service issues. Partial refunds are not provided for unused portions of billing cycles. For complete details, please see our Refund Policy. Contact [email protected] for billing inquiries.

6. Termination & Account Actions

6.1 Service Availability

We may modify, suspend, or discontinue parts of Nsonia Gateway at any time.

6.2 Termination of Use

We reserve the right to suspend or terminate access for violations of these Terms.

7. Limitation of Liability & Disclaimer

7.1 No Warranties

Nsonia Gateway is provided "as is" and "as available," without warranties of any kind.

7.2 Limitation of Liability

Nsonia LLC shall not be liable for any damages arising from your use of Nsonia Gateway.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States of America, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the Commonwealth of Pennsylvania, and the parties hereby consent to personal jurisdiction and venue therein.

9. Dispute Resolution

In the event of any dispute arising out of or relating to these Terms, the parties agree to first attempt to resolve the dispute informally by contacting us at [email protected]. If the dispute is not resolved within 30 days, either party may pursue formal legal remedies as permitted under Section 8 (Governing Law).

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action or representative proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration.

10. Updates & Changes to Terms

We may update these Terms at any time. Continued use of Nsonia Gateway after updates constitutes acceptance.
